Sumitomo Forestry has agreed to acquire homebuilder Tri Pointe Homes in an all-cash transaction valued at $4.5 billion, or $47.00 per share. The purchase price reflects a 29% premium to Tri Pointe's previous closing price and a 42% premium to its 90-day volume-weighted average price, according to the acquisition agreement announced today.
The transaction marks a significant expansion of Sumitomo Forestry's U.S. residential construction operations. Tri Pointe Homes will maintain its brand identity and current management team following the close, which is anticipated in the second quarter of 2026, pending customary regulatory approvals and closing conditions.
Tri Pointe's stock surged 25.79% in premarket trading following the announcement. The company operates multiple homebuilding brands and has established operations across major U.S. markets. Sumitomo Forestry, a Japanese conglomerate with substantial real estate and construction interests, has been expanding its North American residential portfolio in recent years.
